CONTRACT TERMS AND CONDITIONS

WHEREAS:
A. KBCSC requires the services as set out herein; and
B. PathWise Test shall be an independent contractor (contract for service) basis. IN CONSIDERATION of the premises and mutual covenants and agreements hereinafter contained and of other good and valuable consideration (the receipt and sufficiency of which is respectively by the parties acknowledged), the parties hereby agree as follows:

Article I. ENGAGEMENT

1.1 PathWise Test is an independent contractor and supplies all of the services hereunder as an independent contractor;

Article II. TERM AND REMUNERATION AND EXPENSES

2.1 The Contractor agrees to provide services in accordance with the provision of this Contract during the term commencing on 19-09-2024 and ending 19-03-2025
2.2 During the term of this Contract, KBCSC will pay and provide to the Contractor remuneration for carrying out their duties and responsibilities, as follows:
2.2.1 The amount invoiced by the Contractor, for fees and expenses
2.2.2 A maximum of $4,200.00 in fees over the period of the contract.
2.2.3 To be billed according to the following schedule:

  • A first invoice for —- at the end of MONTH YEAR, tied to completion of the Phase one.
  • A second invoice for $— on completion of phase 1, on or before MMDDYY

2.3 Unless otherwise specified in this Contract, all references to money are in Canadian dollars.
2.4 The Term of the Contract will be dating from 19-09-2024 to 19-03-2025 unless mutually amended.
2.5 The Contractor is responsible for all expenses incurred in fulfilling the terms of engagement.

Article III. PROPRIETARY INFORMATION

4.1 It is mutually agreed that the information associated with the work described herein is and will remain the sole property of KBCSC to be shared according to guidelines approved by KBCSC.
4.2 The copyright in the material produced by the project belongs exclusively to KBCSC. Upon KBCSC’s request, the Contractor must deliver to KBCSC documents satisfactory to KBCSC waiving in KBCSC’s favour any moral rights that the Contractor may have in the Material and confirming the vesting of the copyright in KBCSC.
4.3 The Contractor agrees to release to KBCSC any and all information associated with this work upon request.
4.4 The Contractor agrees to maintain confidentiality according to KBCSC policy and principles.

Article IV. GENERAL PROVISIONS

5.1 The provisions of this Contract shall be construed and interpreted in accordance with the laws of the Province of British Columbia, which shall be deemed to be the proper law hereof, and each of the parties hereto irrevocably submits to the jurisdiction of the courts of such Province.
5.2 The headings of the Articles of this Contract are inserted for the purposes of convenience for reference only and shall not affect the construction or meaning of any provision of this Contract.
5.3 If any covenant or provision herein is determined to be void or unenforceable in whole or in part, it shall not be deemed to affect or impair the validity of any other covenant or provision or the remaining part or parts thereof.
5.4 This Contract shall inure to the benefit of and be binding upon the parties hereto and their respective heirs, executors, administrators, successors and permitted assigns.

Article V. TERMINATION OF THE CONTRACT

6.1 If either party shall be in default under or shall fail to comply with the terms, conditions and obligations of this Contract then the non-defaulting party shall have the right to terminate this Contract immediately by written notice to that effect.
6.2 In addition to termination for breach as specified in Section 6.1, either party may terminate this Contract upon thirty [30] days written notice to the other party.

Article VI. HEALTH & SAFETY OBLIGATIONS

7.1 The Contractor asserts that:
7.1.1 KBCSC will not have any current or future liability to the WorkSafe BC as a result of this Contract and the Contractor will indemnify KBCSC if such liability arises. The contractor agrees to provide a WorkSafe BC Release letter to KBCSC

Article VII. INDEMNIFICATION

8.1 The Contractor indemnifies and saves harmless KBCSC and its employees and agents from and against all claims, demands, losses, damages, costs and expenses made against or incurred, suffered or sustained by KBCSC at any time or times (whether before or after the expiration or sooner termination of this Contract), including any claim of infringement of third-party intellectual property rights where the same or any of them are based upon or arise out of or from anything done or omitted to be done by the Contractor in connection with this Contract excepting always liability arising out of the
acts or omissions of KBCSC, our employees and agents.

Article VIII. INSURANCE

9.1 The Contractor, without limiting their obligation or liabilities and at their own expense, will provide and maintain throughout the Contract term, the appropriate insurances with insurers licensed in British Columbia.

Article IX. PERMITS AND LICENCES

10.1 The Contractor will be required to conform to all Federal, Provincial, and City Acts and Regulations that may apply to the operation of this Contract. The Contractor is required to obtain and pay for all necessary permits, licenses, and inspection fees.
